Terms of Service
1.Service Provider Information (mandatory under Eker. tv. § 4)
Pursuant to the obligation under § 4 of Act CVIII of 2001 on Electronic Commerce Services (the "Eker. tv."), the Service Provider hereby discloses:

2.Definitions
- Service Provider / Civora: the Hungarian sole trader (egyéni vállalkozó) identified in clause 1 (Tibor Levente Székely), operating the Civora SaaS Discord moderation service.
- Customer / Subscriber: the natural or legal person who subscribes to the Service and installs the Civora bot on their Discord server. For data-protection purposes, the Customer acts as data controller (GDPR Art. 4(7)) with respect to the personal data of their server members.
- End User: members of the Customer's Discord server, whose messages the Service processes.
- Service: the AI-driven, context-aware moderation SaaS that analyses messages posted on the Customer's Discord server in real time and executes the actions configured by the Customer (delete, timeout, flag).
- Consumer: a natural person acting outside the scope of their trade, business, craft or profession, as defined in § 8:1(1)(3) of Act V of 2013 on the Civil Code (the "Ptk.").
- Business Customer (B2B): a Customer who does not qualify as a Consumer.
3.Description of the Service
Civora is a SaaS Discord bot which, via the Discord platform API, reads messages posted on the channels of the Customer's authorised server(s), performs context-based analysis (tone, intent, linguistic features) through a third-party AI inference sub-processor, and executes pre-configured actions (message deletion, temporary mute/timeout, flagging to moderators).
4.Formation of contract, account, eligibility
4.1. The contract is concluded when the Customer expressly accepts these Terms during registration and the Service Provider activates the account. Under Ptk. § 6:7 a legal declaration may validly be made in electronic form.
4.2. The Customer must provide accurate data and must meet Discord's minimum-age requirement (currently 13). For Business Customers, the registering person must have authority to represent the entity. Customers must indicate at registration whether they subscribe as a Consumer or as a Business, and EU-established VAT taxable persons must supply their valid EU VAT identification number to enable correct application of the B2B reverse-charge mechanism.
4.3. The Customer is responsible for safeguarding the account, keeping authentication credentials confidential, and for all activity performed through the account.
5.Pricing, billing, renewal, cancellation
5.1. Tiers: Free (500 messages/day, 1 server), Pro (HUF 3,290 / USD 9 per month), Business (HUF 8,990 / USD 25 per month, 5 servers, custom severity tuning). The stated prices are VAT-exempt amounts (see clause 5.2) — no Hungarian VAT is added.
5.2. VAT status and invoicing
- The Service Provider acts as a *small-business VAT-exempt taxable person (alanyi adómentes*) under Áfa tv. §§ 187–196. Accordingly, no Hungarian VAT is charged** on the Service fee (Áfa tv. § 188).
- Each invoice contains the legend required by Áfa tv. § 169(m): "This supply is VAT-exempt under Chapter XIII (§§ 187–196) of the Hungarian VAT Act – AAM."
- The VAT-exemption is subject to an annual revenue threshold of HUF 20,000,000 (Áfa tv. § 188(2)); should the threshold be exceeded, the Service Provider will notify Customers and charge VAT from the following billing period onwards.
- For EU-established business Customers with a valid EU VAT number, the supply is subject to the B2B reverse charge under the EU VAT Directive (the VAT obligation arises in the Customer's Member State on the recipient); the invoice carries the "Reverse charge" mention under Áfa tv. § 169(n) and shows the Service Provider's EU VAT ID HU90586961.
- Payments are processed via Stripe Payments Europe Ltd. on automatic monthly renewal. Invoices and supporting documents are retained for 8 years under § 169 of Act C of 2000 on Accounting (Számv. tv.).
5.3. Cancellation: the Customer may cancel at any time effective at the end of the then-current billing period via the dashboard. No pro-rata refund is provided unless mandated by law.
5.4. Consumer right of withdrawal (B2C): A Customer qualifying as a Consumer has a 14-day right of withdrawal under § 20 of Government Decree 45/2014. (II. 26.) Korm. rendelet transposing Directive 2011/83/EU. Under § 29(1)(a) of the same Decree, the right is, however, lost where the Service Provider has begun performance with the Consumer's express prior consent and acknowledgement that the right is thereby waived. During registration the Consumer may expressly request immediate activation.
5.5. B2B Customers: the 14-day withdrawal right under Decree 45/2014 does not apply to Business Customers.
6.Acceptable Use Policy
The Customer undertakes not to use the Service to:
- transmit or distribute content that is illegal, incites hatred, supports terrorism, or contains child sexual exploitation material;
- reverse-engineer, decompile or circumvent the security mechanisms of the Service;
- impose disproportionate load (DoS-like patterns, bulk automated calls beyond the contracted quota);
- breach the Discord Terms of Service, Community Guidelines or Developer Terms of Service.
7.Discord platform compliance
7.1. The Service operates on the Discord Inc. platform. The Customer acknowledges that Discord's own terms and developer policies apply to the Customer and its end users. Changes in Discord platform policies may affect Service functionality; the Service Provider is not liable for consequences arising from such platform changes.
8.AI moderation accuracy — disclaimer
8.1. The Service is a best-effort AI moderation tool. Recommendations and automated actions are produced by statistical models and may err (false positives / false negatives).
8.2. Responsibility for moderation decisions and their consequences rests with the Customer, as the operator and data controller of their Discord server. The Service Provider does not warrant the accuracy of moderation actions nor accept liability for content not filtered, or content erroneously filtered, by the Service.
8.3. The Customer must offer end users an opportunity for human review, in particular in respect of automated decisions with significant effects within the meaning of GDPR Art. 22.
9.Intellectual property
9.1. The Civora SaaS, including source code, dashboard, documentation, brand name and logo, is the exclusive intellectual property of the Service Provider. The Customer receives a limited, non-exclusive, non-transferable right of use for the term of the subscription.
9.2. The Customer (or End User, as applicable) retains all rights in the message data and configurations transmitted through the Service.
10.Limitation of liability
10.1. Pursuant to Ptk. § 6:142, the Service Provider is liable for damage caused by breach of contract, save where it proves the statutory exemption conditions.
10.2. To the maximum extent permitted by law:
- the Service Provider's aggregate liability is capped at the fees actually paid by the Customer in the 12 months preceding the event giving rise to liability;
- the Service Provider is not liable for indirect damages, loss of profit, loss of goodwill, loss of data (outside its own systems), or consequential damages.
- The parties acknowledge that, as a Hungarian sole trader, the Service Provider — being a natural person — is liable with all personal assets under Hungarian law (there is no separate corporate veil). The contractual liability cap in this clause limits the Service Provider's contractual damages obligation up to the stated amount, but does not expand or restrict the Service Provider's underlying personal asset liability.
10.3. Without prejudice to Ptk. § 6:152, nothing in this clause excludes or limits liability for damage caused intentionally or for damage to human life, bodily integrity or health. Mandatory consumer-protection rules likewise prevail in respect of Consumers.
11.Suspension and termination
11.1. The Service Provider may suspend the account with immediate effect or terminate the contract for cause if the Customer:
- materially breaches the AUP in clause 6;
- is in payment default for more than 14 days after written demand;
- provides false data or uses the Service fraudulently.
11.2. Before suspension, the Service Provider — where reasonably feasible — will grant the Customer a grace period of at least 7 days to cure the breach, save in cases of serious or repeated infringement.
12.Changes to the Service and these Terms
12.1. The Service Provider may unilaterally amend the Service and these Terms. Material changes will be notified to the Customer at least 30 days before effective date, via email or dashboard. The Customer may object by terminating before the effective date; continued use constitutes acceptance.
13.Indemnification (B2B Customers)
The Business Customer shall indemnify the Service Provider against any third-party claims and damages (in particular by End Users or authorities) arising from the Customer's use of the Service in breach of clause 6 or applicable law.
14.Governing law and dispute resolution
14.1. These Terms are governed by Hungarian law.
14.2. Disputes shall be sought to be settled amicably. Failing that:
- Consumer disputes: Consumers may turn to the conciliation board (békéltető testület) operating alongside the chamber of commerce of their place of residence, under Act CLV of 1997 on Consumer Protection (Fogyv. tv.), or to the Budapest Conciliation Board (https://bekeltet.bkik.hu). EU online dispute resolution platform: https://ec.europa.eu/odr.
- B2B disputes: the parties submit to the exclusive jurisdiction of the Permanent Arbitration Court attached to the Hungarian Chamber of Commerce and Industry (MKIK Arbitration Court), proceeding in Hungarian language under Hungarian law per its own Rules.

15.2. Consumer complaints may be submitted to hello@civora.hu or to the Service Provider's registered seat under § 17/A of the Fogyv. tv.. Complaints are logged and answered on the merits within 30 days.
15.3. Supervisory authorities:
